CNH Announces Pricing Of Its Offering Of €500,000,000 3.875% Notes Due September 2035
30 August 2025, Basildon: CNH Industrial N.V. (NYSE: CNH) today announced that it has successfully priced its offering of €500 million in principal amount of 3.875% notes due September 3, 2035. The notes, issued under the company’s Euro Medium Term Note Programme, were priced at 98.906% of the principal amount.
The closing of the offering is expected on September 3, 2025. CNH said it intends to use the net proceeds from the issue for general corporate purposes, which include the repayment of existing debt. An application will be made for the notes to be admitted to trading on the Global Exchange Market of Euronext Dublin.
The securities are being offered only to institutional investors outside the United States, in accordance with Regulation S under the U.S. Securities Act of 1933. The company emphasized that the notes have not been and will not be registered under the Securities Act or any other securities laws, and therefore may not be offered or sold in the U.S. or to U.S. persons without proper exemptions.
In addition, CNH clarified that the offering is not a public solicitation in Italy, the UK, or the Netherlands, and is restricted to qualified investors and professional clients under the applicable financial regulations in those jurisdictions.
